This End User License Agreement ("Agreement") is between you and SailorFlow LLC, a Wyoming limited liability company with its office at 30 N Gould St Ste R, Sheridan, WY 82801, USA, which operates VideoUpscaler and videoupscaler.co ("VideoUpscaler", "we", "us"). It governs the VideoUpscaler desktop application for macOS, the AI models it downloads, and any updates we provide (together, the "Software").

By installing, activating or using the Software you agree to this Agreement. If you do not agree, do not install or use the Software. Please read section 6 (No refunds) carefully before you buy.

1. Definitions

  • Account: your videoupscaler.co account, used to sign in to the Software.
  • Trial: the free 7-day period at the start of a purchase, described in section 3.
  • License: the paid right to use the Software described in section 4: an Annual Subscription or a Perpetual License.
  • Your Content: the videos you open in the Software and the files it produces from them.

2. Accounts and activation

The Software must be activated by signing in with an Account. Activation and license checks need an internet connection from time to time; the processing of your videos itself runs on your Mac. You are responsible for keeping your sign-in email secure and for everything done under your Account. You may not share, sell or transfer your Account.

3. Free trial

  • A License is bought on our checkout page with a card or PayPal. Unless your Account, your Mac, your card or your PayPal account has already had one, the purchase starts with a free Trial of 7 days. Creating additional Accounts, or using other cards or Macs, to obtain further Trials is not permitted.
  • Automatic charge. At the end of the Trial the price shown at checkout is charged automatically to the card or PayPal account you gave: the Perpetual License price once, or the Annual Subscription price, which then renews every year (section 4). We email you a reminder about three days before the Trial ends.
  • Cancelling the Trial. You can cancel at any time before the Trial ends, in the Software under Account › Cancel free trial. Nothing is charged, and the Trial stays usable until it ends.
  • During the Trial every feature can be used, but exported videos carry a visible VideoUpscaler watermark, and batch export (exporting several videos in one queue) becomes available when the Trial converts into a paid License.
  • If the Trial ends without a successful payment (because you cancelled it or the charge failed), the Software cannot be used until you buy a License.
  • The Trial exists so that you can check, on your own Mac and with your own videos, that the Software works and meets your needs before you are charged. See section 6.

4. License

  • Grant. When you buy a License and comply with this Agreement, we grant you a non-exclusive, non-transferable, non-sublicensable license to install and use the Software, as follows:
    • Annual Subscription — use of the Software and all updates for one year from purchase. It renews automatically for another year at the then-current price unless you cancel before the renewal date; cancelling stops the next renewal and the License stays active until the end of the paid year. When a subscription ends, the Software cannot be used until you buy a License again. We email you a reminder before each yearly renewal, and you can cancel in the Software under Account › Cancel subscription.
    • Perpetual License — use of the Software without time limit, for a single payment and with no renewals, together with the updates we make available to it.
  • One person, one active Mac. A License belongs to one Account and one named person and may not be shared. The Software can be installed on any number of Macs, but the Account can be active on only one Mac at a time: starting to use it on another Mac ends the session on the previous one. To prevent sharing, an Account can move to a different Mac at most 5 times in any 30 days; beyond that, contact support. We may suspend an Account that is used by more than one person.
  • Commercial use. You may use the output of the Software for personal and commercial purposes, subject to section 8.
  • Reservation. The Software is licensed, not sold. All rights not expressly granted are reserved.

5. Restrictions

You must not, and must not allow anyone else to:

  • copy, sell, rent, lend, sublicense or otherwise distribute the Software or a License;
  • reverse engineer, decompile or disassemble the Software, except to the extent applicable law or the open-source licenses of its third-party components (Schedule A) expressly permit it;
  • extract, copy or redistribute the AI models downloaded by the Software, or use them outside it;
  • remove, hide or alter watermarks, or bypass the activation, Trial or license checks;
  • use the Software to process content you do not have the right to process, or for any unlawful purpose.

6. Payment and NO REFUNDS

  • Prices are shown before you pay. They are charged in full when the Trial ends, or at the time of purchase when there is no Trial (for an Annual Subscription, also at each renewal). Introductory prices apply only to the first purchase. Payments are processed by our payment providers (Stripe and PayPal); we do not see or store your card number.
  • ALL PURCHASES ARE FINAL. ONCE A PURCHASE OR A SUBSCRIPTION RENEWAL IS COMPLETED, IT IS NOT REFUNDABLE, in whole or in part, including when you change your mind, forget to cancel before a renewal, do not use the Software, are not satisfied with the results, or your Mac does not meet the system requirements. The free 7-day Trial lets you evaluate the Software on your own Mac before you are charged, and you agree that you have had that opportunity.
  • Digital content and the right of withdrawal. The License is digital content supplied immediately after payment. Where the law of your country gives consumers a right to withdraw from a purchase of digital content (for example in the EU or the UK), you expressly request immediate supply and acknowledge that you lose that right once supply has begun, which is when the License is activated on your Account at purchase.
  • The only exceptions are a duplicate charge or a charge made in error, which we will correct, and cases where mandatory consumer law that cannot be excluded by agreement requires a refund.

7. Updates, models and system requirements

We may provide updates, new models or changes to features, and some features may require them. We are not obliged to provide updates or support. The Software requires a Mac with Apple silicon and macOS 12 or later; AI models are downloaded from our servers when you choose them.

8. Your Content

You keep all rights to Your Content. The Software processes your videos locally on your Mac and does not upload them to us. You are solely responsible for having the rights needed to process Your Content and for how you use the results. AI enhancement reconstructs detail and can produce artifacts; check results before you rely on them.

9. Privacy

We process your Account email, license and activation status and basic device information to run the Software, as described in our Privacy Policy (https://videoupscaler.co/privacy-policy).

10. Third-party components

The Software includes third-party components under their own licenses, listed in Schedule A and in the Software under Help › Open source licences. Nothing in this Agreement limits your rights under those licenses.

11. Intellectual property

The Software, its design and our trademarks belong to us or our licensors. This Agreement gives you no rights in them other than the License.

12. Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, FILES, PROFITS OR BUSINESS. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SOFTWARE IS LIMITED TO THE AMOUNT YOU PAID FOR YOUR LICENSE.

14. Termination

This Agreement applies until it is terminated. It ends automatically, without notice, if you breach it; we may also suspend or end your License and Account for a breach, without refund. When it ends you must stop using and delete the Software. Sections 5, 6, 8 and 11–16 survive termination.

15. Changes

We may update this Agreement. The date at the top shows the current version. For material changes we will notify you in the Software or by email before they take effect.

16. Disputes and governing law

Please contact us first so we can try to resolve any problem directly. This Agreement is governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules; the United Nations Convention on Contracts for the International Sale of Goods does not apply. Any dispute will be resolved in the state or federal courts located in Wyoming, and both parties consent to their jurisdiction. Nothing in this Agreement limits rights you have under mandatory consumer protection law in your country of residence.
